TERMS OF USE FOR SKILLSENTIAL AFFILIATES.

1. Affiliate Eligibility: To become an affiliate on Skillsential, you must be at least 14 years of age and agree to these Terms. You must also have a valid bank account to receive commission payments. We reserve the right to reject or terminate your application to become an affiliate anytime and for any reason.
2. Affiliate fee: To be an affiliate on Skillsential, you are to pay an annual affiliate account fee of N10,000 which is to be renewed after 12 months. This fee gives you access to your affiliate dashboard and our course marketplace where you can find courses to promote and earn commissions from.
3. Affiliate Responsibilities: As an affiliate, you are responsible for promoting courses on Skillsential using your unique affiliate link. You agree to promote courses in a professional and ethical manner, and not engage in any activities that could harm the reputation of Skillsential or its course creators. You must also comply with all applicable laws and regulations.
4. Direct Affiliate Commissions: You will earn a commission on sales generated through your unique affiliate link. The commission rate may vary depending on the specific course and commission program stipulated by the course creator. Commission payments will be made to your local bank account details you provided every Friday. We reserve the right to modify the commission rate and program anytime and for any reason without prior notice.
5. Indirect Affiliate commission: In addition to your direct affiliate commission, you will also make an indirect affiliate commission when a member of your downline makes a successful sale up to a third generation. That is to say, you will earn a 5% indirect affiliate commission from your first level, 3% from your second level and 2% from your third level respectively which will be transparently displayed on your affiliate dashboard. We reserve the right to modify the commission rate and program anytime and for any reason.
6. Prohibited Activities: As an affiliate, you must not engage in any of the following activities:
● Engage in spamming or any other form of unsolicited advertising;
● Use deceptive marketing techniques, such as making false or misleading claims about the courses or the Skillsential platform;
● Infringe on any intellectual property rights or other rights of third parties;
● Engage in any illegal activities, such as money laundering, fraud, or other criminal activities.
7. Termination: We reserve the right to terminate your affiliate account at any time and for any reason, including but not limited to violation of these Terms or any other policies of Skillsential. If your affiliate account is terminated, you will forfeit any unpaid commission balances.
8. Disclaimer: Skillsential makes no representations or warranties of any kind, express or implied, as to the operation of the affiliate program or the information, content, materials, or products included on the platform. You agree that your use of the affiliate program is at your sole risk.
9. Limitation of Liability: Skillsential will not be liable for any damages of any kind arising from the use of the affiliate program, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
10. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the federal republic of Nigeria, without giving effect to any principles of conflicts of law. TERMS OF AGREEMENT FOR COURSE CREATORS

Welcome to Skillsential! This agreement outlines the terms and conditions for course creators who wish to offer their courses on our platform. By signing up as a course creator on Skillsential, you agree to be bound by the terms and conditions of this agreement.
1. Course Content Ownership: You retain ownership of the content that you upload to the Skillsential platform. However, you grant Skillsential a non-exclusive, royalty-free license to use, copy, distribute, transmit, and display your content for the purpose of promoting your course and Skillsential.
2. Course creator fee: To own a course creator account on Skillsential, you are required to pay a course creator account fee of N25,000 which is renewable annually. This gives you access to our course creators' dashboard, allows you to upload your courses on Skillsential, and also allows for your course to be listed on the Skillsential course marketplace for affiliates to promote.
3. Course Content Guidelines: The course content you upload to Skillsential must be original, accurate, and comply with all applicable laws and regulations. You are responsible for ensuring that your course content does not infringe on any third-party intellectual property rights, including copyright, trademark, and patent.
4. Revenue Share: Skillsential will pay you a percentage of the revenue generated from your course sales on the platform. The revenue share will be the percentage equivalent you choose to price your course. Also, note that Skillsential gives you the flexibility to decide and determine what percentage of commission you are willing to give to affiliates. However, Skillsential charges a statutory percentage of 15% commission for every successful sale made, of which 5% goes to Skillsential and 10% is used as indirect affiliate commission for affiliates.
5. Course promotion and delivery: To enable affiliates to promote your course effectively, you are expected to provide us with a link to your landing page where potential buyers can learn more about your course. In addition to that, we will also be helping you handle your course delivery. This is to help mitigate copyright and unauthorized sharing of your intellectual property. When a customer purchases your course, they are redirected to their dashboard where they will have access to the course, download it in the app, and can watch offline, but will be unable to save it on their local storage.
6. Payment Processing: Skillsential will handle all payment processing for your course sales, and will deduct its fees and revenue share before remitting payment to you. You will be responsible for providing accurate payment information and ensuring that all taxes and fees are paid on your earnings. Payments will be made every 14 days.
7. Course Promotion: Skillsential reserves the right to promote your course through various marketing channels, including but not limited to email, social media, and advertising.
8. Content Removal: Skillsential reserves the right to remove any course content that violates our terms of use, applicable laws and regulations, or that we believe may be harmful to our users or the platform.
9. Termination: You may terminate this agreement at any time by requesting the removal of your course from the platform. Skillsential reserves the right to terminate this agreement and remove your course from the platform for any reason, including but not limited to violation of our terms of use.
10. Indemnification: You agree to indemnify, defend, and hold harmless Skillsential, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or in connection with your use of the platform or any breach of this agreement.
11. Modification: Skillsential reserves the right to modify this agreement at any time, and you agree to be bound by any changes or updates. We will notify you of any material changes to this agreement via email or by posting a notice on the platform.
12. Governing Law: This agreement will be governed by and construed in accordance with the laws of the federal republic Of Nigeria. By signing up as a course creator on Skillsential, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this agreement. TERMS OF USE FOR PREFERRED CUSTOMERS.

Welcome to Skillsential! These Terms of Use ("Terms") govern your access to and use of the Skillsential platform (the "Platform") and the courses offered by our Course Creators. By using our Platform, you agree to these Terms, which form a binding legal agreement between you and Skillsential. If you do not agree to these Terms, you may not use the Platform.
1. Registration and Account Creation: In order to purchase courses on Skillsential, you must first create an account. You must provide accurate and complete information when creating your account, and you are responsible for maintaining the security of your account login credentials. You must not share your account login credentials with anyone else.
2. Purchasing Courses: When you purchase a course on Skillsential, you will be required to provide payment information. You must provide accurate and complete payment information, and you are responsible for any fees or charges associated with your purchase. All fees are non-refundable, except as required by law.
3. Course Access: When you purchase a course on Skillsential, you will have access to the course on your Skillsential dashboard for the duration specified on the course page. You may access the course only for your personal, non-commercial use. You may not share your course access with anyone else, and you may not reproduce, distribute, or otherwise use any course materials for any commercial purpose.
4. Intellectual Property Rights: The content on Skillsential, including but not limited to courses, videos, articles, and images, is protected by intellectual property laws. The course buyer agrees not to reproduce, modify, distribute, display, sell, or create derivative works of any content without the express written permission of Skillsential or the respective course creator.
5. License Grant: Upon purchase of a course, the course buyer is granted a limited, non-exclusive, non-transferable license to access and view the course content for personal, non-commercial use only.
6. Restrictions: The course buyer agrees not to copy, share, or distribute the course content in any manner, including but not limited to sharing login credentials, screenshots, or recordings of the course.
7. Payment: The course buyer agrees to pay the full amount for the course at the time of purchase, using the payment method accepted by Skillsential.
8. Refunds: Skillsential offers a 30-day money-back guarantee for all courses purchased. If the course buyer is not satisfied with the course, they may request a refund within 30 days of the purchase date. Refunds will be issued to the original payment method and may take up to 10 business days to process.
9. Disclaimer of Warranties: Skillsential makes no warranties or representations about the accuracy or completeness of the course content or the suitability of the content for any particular purpose. All courses are provided “as is” without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Limitation of Liability: Skillsential shall not be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the purchase or use of any course, including but not limited to lost profits, loss of revenue, or loss of data. The total liability of Skillsential for any claim arising out of or in connection with the purchase or use of any course shall not exceed the amount paid by the course buyer for the course.
11. Termination by Course Buyer: The course buyer may terminate their use of the course at any time.
12. Termination by Skillsential: Skillsential may terminate the course buyer’s access to the course at any time, with or without cause.
13. Governing Law: These terms of use shall be governed by and construed in accordance with the laws of the Federal Republic Of Nigeria.
14. Dispute Resolution: Any dispute arising out of or in connection with these terms of use shall be resolved through binding arbitration in accordance with the rules of the Federal Republic Of Nigeria.
